End-User License Agreement
This agreement governs access to and use of ABNH OS, an internal business operations application operated by ABNH.
1. Acceptance
By accessing or using ABNH OS, you agree to this End-User License Agreement. If you do not agree, do not use the application.
2. Limited license and authorized use
ABNH grants authorized users a limited, revocable, non-exclusive, non-transferable license to use ABNH OS for legitimate ABNH business operations. ABNH OS is not licensed for resale, public distribution, sublicensing, reverse engineering, unlawful activity, or use by anyone who has not been approved by ABNH.
3. Accounts, access, and security
You are responsible for protecting credentials, access keys, devices, and accounts used to access ABNH OS. You must promptly report suspected unauthorized access, credential exposure, or misuse to ABNH. You may not attempt to bypass access controls or interfere with the application, its integrations, or its infrastructure.
4. QuickBooks Online and third-party services
ABNH OS may connect with QuickBooks Online, Notion, Vercel, Upstash Redis, and other services selected by ABNH. Your use of those services remains subject to their separate terms and policies. Availability or changes to a third-party service may affect ABNH OS. Intuit and QuickBooks are trademarks of Intuit Inc.; ABNH OS is not endorsed or sponsored by Intuit.
5. Business and accounting responsibility
ABNH OS is an operational tool and does not provide legal, tax, accounting, or financial advice. Users remain responsible for reviewing customers, products, estimates, invoices, tax settings, payments, profitability calculations, and other records before relying on or sending them. QuickBooks Online remains the system responsible for final accounting treatment and tax calculations.
6. Data and acceptable use
You may enter, view, or synchronize information only when authorized to do so. You must not upload malicious code, infringe another person’s rights, misuse customer information, or use ABNH OS in a way that violates law, contract, or ABNH policy.
7. Ownership
ABNH and its licensors retain all rights in ABNH OS, including its software, design, workflows, documentation, branding, and improvements. This agreement does not transfer ownership. Business records and customer data remain subject to ABNH’s rights, obligations, and applicable law.
8. Availability, updates, and changes
ABNH may update, modify, suspend, restrict, or discontinue features at any time. ABNH may also change this agreement by posting an updated version with a new effective date. Continued use after an update constitutes acceptance of the revised agreement.
9. Disclaimer
To the maximum extent permitted by law, ABNH OS is provided “as is” and “as available.” ABNH disclaims warranties of uninterrupted operation, error-free performance, fitness for a particular purpose, merchantability, and non-infringement. Some jurisdictions may not allow certain exclusions, so these exclusions apply only to the extent legally permitted.
10. Limitation of liability
To the maximum extent permitted by law, ABNH will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or third-party service failures arising from use of ABNH OS. Nothing in this agreement limits liability that cannot legally be limited.
11. Suspension and termination
ABNH may suspend or terminate access at any time, including for security concerns, unauthorized use, legal requirements, or violation of this agreement. Upon termination, the license granted under this agreement ends immediately.
12. Governing law
This agreement is governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any dispute will be handled in a court of competent jurisdiction in New Jersey, unless applicable law requires otherwise.
